ProMuse Terms of Services

1. Introduction

Welcome to ProMuse.ai (“ProMuse”, “we”, “us”, “our”). These Terms of Service (the “Terms”) form a legally binding agreement between you and Aignite Inc. (d/b/a ProMuse.ai) (“Aignite”).

By clicking “I agree,” creating an account, starting a trial, purchasing a subscription, or otherwise accessing or using our websites, mobile apps, and services (collectively, the “Services”), you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 16 years old to use ProMuse. If you are under 18 (or the age of majority in your jurisdiction), you represent that you have reviewed these Terms with a parent or legal guardian and that they have agreed to these Terms on your behalf.

3. Scope and Additional Terms

Certain features may be subject to additional terms (“Additional Terms”), such as:

  • Privacy Policy (how we handle your data)
  • Subscription Terms (billing, trials, auto‑renewal, cancellations)
  • Money‑Back Guarantee (if offered; eligibility and process)

Additional Terms are incorporated by reference. If there is a conflict between these Terms and the Additional Terms, the Additional Terms control for that specific feature.

4. What ProMuse Provides (and What We Don’t)

ProMuse is an AI‑powered educational and productivity platform designed to help users learn and practice skills.

  • Educational Purpose Only: The Services, including AI outputs, are for informational and educational purposes only.
  • No Career Counseling / Employment Agency: ProMuse is a self‑directed learning tool. We do not guarantee job placement, interviews, salary increases, or career advancement.
  • No Professional Advice: ProMuse is not a financial advisor, legal counsel, or healthcare provider. Do not rely on the Services for critical decisions (e.g., quitting a job, investing money, signing legal contracts). Consult qualified professionals as needed.

5. Account Registration

To access certain features, you must create an account. You agree to provide accurate information and keep your login credentials confidential. You are responsible for all activity under your account.

We may suspend or terminate accounts that violate these Terms, abuse the Services, or create risk for ProMuse or other users.

6. Subscriptions and Billing

6.1 Payment Processors and Merchant of Record

Payments may be processed via third‑party platforms such as Stripe, Apple App Store, and Google Play.

  • If you purchase through Apple App Store or Google Play, those platforms may act as the merchant of record and control billing and certain refund/cancellation mechanics under their policies.
  • If you purchase on the web through Stripe, Aignite is the merchant of record and Stripe is our payment processor.

6.2 Auto‑Renewal

Subscriptions automatically renew unless canceled in accordance with the Subscription Terms and the instructions shown at checkout. To avoid being charged for the next period, you must cancel at least 24 hours before the end of the current period (or earlier if required by the applicable store policy).

6.3 Trials / Introductory Offers

If you start a free trial or discounted introductory offer, it may automatically convert to a paid subscription at the end of the trial/intro period unless you cancel before it ends. The renewal price and renewal interval will be disclosed at checkout and/or in your purchase confirmation.

6.4 Cancellations

You must cancel using the same purchase channel you used to subscribe (e.g., Apple/Google account settings for in‑app purchases). Uninstalling the app does not cancel your subscription.

6.5 Refunds and Money‑Back Guarantee

Refunds (if any) are governed by our Subscription Terms, any applicable Money‑Back Guarantee, and (where relevant) the policy of the platform through which you purchased. Except where required by law or explicitly provided in a Money‑Back Guarantee, fees are generally non‑refundable.

7. Acceptable Use and Community Code

ProMuse strives to be a supportive environment. You agree not to:

  • Tech Abuse: Use bots, scrapers, or automated tools; reverse engineer the Services; bypass paywalls; introduce malware; or interfere with security features.
  • Social Abuse: Harass, bully, defame, or discriminate against other users or staff. Hate speech is not permitted.
  • Content Abuse: Distribute ProMuse content externally without permission.
  • Model Training: Use ProMuse content to train or improve third‑party AI models or datasets.

We may remove content, restrict features, or suspend/terminate accounts to enforce these rules.

8. AI‑Assisted Features (AI Mentor / Chat)

8.1 AI Limitations

AI can make mistakes and may generate inaccurate, outdated, or biased information. You must verify AI outputs before using them in real‑world scenarios.

8.2 Input and Output

You own your inputs (“Inputs”). To the extent permitted by law, ProMuse grants you a right to use outputs (“Outputs”) for your personal or internal business purposes. Outputs may not be unique.

8.3 Improvement

You agree that we may use your AI interactions to operate, maintain, and improve our Services, consistent with our Privacy Policy(including using de‑identified and aggregated data where feasible).

9. Intellectual Property and User Content

9.1 ProMuse Content

All lessons, software, designs, and materials provided by ProMuse are owned by Aignite Inc. or its licensors and protected by intellectual property laws. You receive a limited, personal license to use the Services for your own learning (and internal business use where permitted by your plan).

9.2 User Content License

You retain ownership of content you upload or submit (“User Content”). By submitting User Content, you grant us a worldwide, non‑exclusive license to store, display, and process it to provide and operate the Services.

9.3 De‑Identified / Aggregated Analysis

You grant ProMuse the right to use your User Content in de‑identified and aggregated form for educational analysis, internal research, and product improvement (e.g., analyzing common mistakes to improve curriculum), consistent with the Privacy Policy.

10. Third‑Party Links

We are not responsible for third‑party websites or services linked within ProMuse. Use them at your own risk.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS (E.G., INCOME INCREASE, JOB PROMOTION, OR SKILL MASTERY). YOUR RESULTS DEPEND ON YOUR EFFORT AND OTHER FACTORS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIGNITE INC. SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE LAST SIX (6) MONTHS OR (B) $250 USD, EXCEPT WHERE A DIFFERENT LIMIT IS REQUIRED BY APPLICABLE LAW.

13. Indemnification

You agree to indemnify and hold harmless Aignite Inc. against claims arising from your misuse of the Services, violation of these Terms, or violation of third‑party rights.

14. Dispute Resolution and Arbitration (U.S. Users; Where Permitted)

14.1 Informal Resolution

Contact us at team@promuse.ai first. We will try to resolve disputes informally.

14.2 Binding Arbitration; Class Action Waiver

Except where prohibited by law, disputes not resolved informally will be settled by binding individual arbitration under AAA consumer rules rather than in court. You and ProMuse waive the right to participate in class actions or class arbitration.

Either party may bring an individual claim in small claims court if eligible and the matter remains individual.

14.3 Opt‑Out

You may opt out of arbitration within 30 days of accepting these Terms by emailing team@promuse.ai with your full name, the email associated with your account, and a clear statement that you are opting out.

15. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict‑of‑law principles. If arbitration does not apply, any lawsuit must be brought in the courts located in Santa Clara County, California, unless applicable law requires otherwise.

16. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or misuse the Services. Termination of your account does not automatically cancel a subscription; you must cancel separately via the purchase channel.

Sections that by their nature should survive (including IP, disclaimers, limitation of liability, and dispute resolution) will survive termination.

17. Changes to Terms

We may update these Terms. Continued use after changes become effective implies acceptance. Material changes will be notified via email or in‑app where required by law.

18. Copyright / DMCA

If you believe content on ProMuse infringes your copyright, contact us at team@promuse.ai with sufficient detail to investigate (including the URL or location, description of the work, and your contact information).
